Delivery and Payment Terms

 

THIS AGREEMENT AND THE PARTIES

This agreement is entered into between us, NobleProg Training & Consulting S.R.L., headquartered at Bulevardul Eroilor, No. 42, Floor 1, Apt. 9, CLUJ NAPOCA 400129, ROMANIA, and you, the client, partner, or company appearing on the course registration form signed by an authorized person. The person signing the course registration form or the directors of a company will be responsible for every commitment undertaken that they or their companies do not fulfill, especially in cases where the person or company owes money for services provided by NobleProg.

The agreement becomes effective upon receipt of the course registration form and our confirmation of the booking. If a completed form does not reach us but both parties have communicated via email, fax, or telephone, then the following conditions apply.

As long as the conditions are not specified in the course registration form, any conditions presented, proposed, or stipulated by you in any form and at any time will be excluded.

No changes to this agreement or these conditions shall come into effect if we have not accepted them in writing, even if you state that such modification is included in the booking form.

REQUESTS AND BOOKINGS

Requests can be made by phone. Any special arrangements or deviations from our delivery and payment terms must be accepted by us in writing. A course registration form must be sent from the NobleProg page, via fax, or by post. Until the registration process is complete, a provisional place will be reserved. Payment terms follow below.

PRICES

Course prices are published, but it is best to confirm them before booking.

PAYMENT TERMS

You agree to pay the amount within five business days after receiving the invoice. Unless otherwise agreed and if you have not paid before the start of the course, we will interpret this as a cancellation. In this case, cancellation penalties may apply in accordance with the cancellation clause.

STANDBY BOOKINGS

A standby booking is an agreement to purchase or pay for a course once the course date is confirmed, not before.

An invoice will be sent prior to the start of the course.

The booking shall be in accordance with these other conditions.

CANCELLATION OR POSTPONEMENT BY THE CLIENT

Cancellations and postponements must be notified immediately and reach us before the course date. This applies to all scheduled and unscheduled courses. Cancellation penalties must be paid if you cancel or postpone the course on the day it starts. The size of the penalty depends on the time remaining until the course date:

20 days prior: 100% of the course price must be paid

21-30 days prior: 50% of the course price must be paid

31 days or more: 0% penalty

CREDIT/DEBIT CARD - REFUND POLICY

Refunds may be offered by management in special cases.

TRANSFERS AND SUBSTITUTES

A transfer to other courses may be possible, depending on whether that specific course is valid, but it will be treated as a standby. Cancellation penalties must also be paid if the transfer is not communicated to us within the timeframe mentioned above. All transfers will cost XX€ per person to cover administrative costs.

Substitutes with appropriate knowledge may be sent shortly before the course. This will not incur additional costs.

CANCELLATION AND RESCHEDULING BY NobleProg

NobleProg reserves the right to cancel or reschedule a course or part of a course at any time. In this case, participants in that course will be offered an alternative course or the option to withdraw from it. A credit or refund is possible in this case. Additional expenses incurred by the client resulting from our cancellation of the course are not our responsibility.

COPYRIGHT

All copyrights and intellectual property rights regarding materials that we prepare before and during courses (including marketing and course notes) remain with us.

COURSE CONTENT

The current content of the course is in outline form and may change over time. It is important that this outline be confirmed at the time of booking. We endeavor to address all aspects of the course exactly as displayed in the course outline, but this cannot be guaranteed. It is possible that course content will change if participants request it and if agreed upon by other participants as well as the instructor. Course duration may vary (in hours or days), depending on the number of participants, the pace at which the course is delivered, and the aptitude of the participants. Normally courses run from 9:30 AM to 4:30 PM with a one-hour lunch break and short breaks for snacks.

DOCUMENTATION

Documentation may be provided for certain courses and will vary in style and depth. Acquiring, preparing, duplicating, and authorizing documentation for unscheduled courses will cost extra on top of the respective course price, and an invoice will be issued after the course, once the exact cost of the documentation is known.

PARTICIPANT EXPERIENCE AND BEHAVIOR

We expect participants to behave professionally throughout the course. Alcoholic beverages and unruly behavior will not be tolerated.

Participants must meet the minimum level of knowledge required for that specific course. If not, it may not be possible to effectively deliver the course. Participants with weak knowledge as well as those too highly qualified can certainly participate in courses; however, it must be considered that the benefit will not be significant and instructors cannot simply change the course content solely for these participants unless previously discussed.

We reserve the right to exclude participants (without refund) at any time if they disrupt or interfere with the course, as well as when their knowledge influences the course so that it cannot be properly conducted.

We reserve the right to halt a course (without refund) if participants behave poorly or if their knowledge does not allow us to continue the course appropriately.

All claims from clients or participants resulting from such delays or interruptions shall be paid by those responsible for the disruptions.

NO SOLICITATION

For 12 months after the completion of the course, it is forbidden for any party to attempt to employ a member from the other party (unless another arrangement has been made in writing) who participated or had contact with that respective course.

Breach of this rule will be penalized with costs equal to the salary of the person hired or with 650,000€, whichever sum is greater.

MISCELLANEOUS INFORMATION

The client (and any other party directly or indirectly introduced to NobleProg representatives by a client) is forbidden from negotiating with NobleProg representatives (or other parties directly or indirectly introduced), unless previously arranged in writing by NobleProg. Any loss of business now or in the future resulting from breach of this rule must be paid by the client at a rate of 30,000€ per day for each day of lost business, or for the total amount of lost business, whichever sum is greater. We expect the client to have licenses for software used in courses we provide, regardless of the course location or hardware used, even if provided by us or the client. Participants will be responsible for any damage caused to our data, equipment, or facilities. The hardware used in courses is compatible with IBM computers.

NobleProg is not responsible if clients' items are stolen on our premises (or during courses we organize elsewhere in the world) or if anything belonging to the client breaks or fails. Valuable items, computers, personal property, etc., should not be left unattended even if our instructors or consultants offer to take care of them; nor do we have any ability to insure your belongings or other potential losses. Normally courses are conducted such that the client is satisfied. However, there is naturally a possibility for the client to intervene if the instructor deviates from the course outline. In this case, the client must specify in detail why the course content is out of order and where the difference lies between what was established and what is being taught. If the client has merit, the instructor may adjust the course content accordingly if the other participants also agree.

COMPETITION

If you book a course, you agree that it is not permitted for participants to forward this course or any similar course to other companies competing with NobleProg.

LIMITATION OF LIABILITY

NOBLEPROG ASSUMES NO LIABILITY FOR ERRORS OR DEFECTS IN CODE; METHODS OR EXAMPLES PRESENTED DURING THE COURSES. FURTHERMORE, NOBLEPROG DOES NOT GUARANTEE ACCURACY, COMPLETENESS, TIMELINESS OR OTHER CHARACTERISTICS REGARDING MATERIALS THAT ARE PART OF THE RESPECTIVE COURSE MATERIALS. THE USER AGREES THAT NOBLEPROG IS NOT LIABLE FOR ANY LOSS OR DAMAGE RESULTING DIRECTLY OR INDIRECTLY FROM THE USE AND PROVISION OF COURSE MATERIALS AND NOR IS NOBLEPROG RESPONSIBLE FOR ANY ADVICE GIVEN DURING THE COURSES, REGARDLESS OF WHETHER IT COMES FROM NEGLIGENCE OR CAUSES BEYOND CONTROL.
